Terms of Service

1. Who we are, and what these terms cover

Keep The Club is a website service for hobby clubs, run by KeepTheClub LLC ("Keep The Club", "we", "us"). It has three parts: this site at keeptheclub.com, a private member portal for each club, and a public website for each club at an address like yourclub.keeptheclub.com. These Terms of Service (the "Terms") are an agreement between you and KeepTheClub LLC. They apply whenever you visit any of those, create an account, or use the service on a club's behalf.

If you are an officer or administrator acting for a club, you agree to these Terms for the club as well as for yourself, and you confirm that you have the authority to do that. In these Terms, "club" means the organization that set up a site with us; "officer" means a member the club has given the power user or admin access level; "member" means anyone with an account on a club's roster; and "visitor" means anyone reading a club's public website or this site.

2. The service is in beta

Keep The Club is in beta. We are working with a small number of clubs, features change often, and some of the features described on this site are still being built. We do not charge clubs or members anything today. If we introduce fees, we will tell club administrators in writing at least 30 days before anything is charged, and no club will be charged without agreeing to a price first.

Because it is a beta, we cannot promise uninterrupted service or that any feature will stay as it is. We will give reasonable notice of significant changes where we can.

3. Who may use it

Keep The Club is available in the United States only. Club websites are served only to visitors connecting from the United States, and we accept clubs based in the United States.

Keep The Club is for adults. You must be at least 18 years old to create or hold an account or to act for a club, and you confirm that you are when you create your account. We do not offer accounts to anyone under 18, and a club may not invite anyone under 18 or create an account on their behalf. If you learn that someone under 18 holds an account, email support@keeptheclub.com and we will close it.

You may not use the service if we have removed you from it for breaking these Terms.

4. Accounts

Accounts are created by invitation from a club, or by a club officer registering an existing membership list. Anyone can ask to join a club from its public website; the club decides. When you create an account, and again if these Terms materially change, you confirm that you are 18 or older and accept these Terms and the Privacy Policy. We keep a record of when you did.

• You are responsible for keeping your password private and for what happens under your account. Tell your club or us right away if you think somebody else is using it.
• You may sign in with a password or with a Google account. If you sign in with Google, Google's terms apply to that account.
• One account can belong to several clubs. Each club controls what you can see and do inside its own site, and one club cannot see your activity in another unless you share something into it yourself.
• You must give accurate information and keep your profile up to date.
• You can delete your account yourself from My Account, after signing in again. The Privacy Policy says what is deleted and what a club may keep. A club's only admin has to make somebody else an admin first.

5. Clubs and their officers

A club's officers run the club's site: who is on the roster, each member's role and standing, the club's public website, and its settings. The club is responsible for the following.

• Having the right to add each member's name and email address to the roster, including when an officer registers an existing membership list in bulk. Members added that way receive an email inviting them to set up their account.
• The accuracy of the roster and of anything the club publishes.
• Deciding what its public website shows. Events, announcements and For Sale listings appear on the public site only when someone turns "Show in public site" on for that item. A Locations section on the public site publishes each location's name, address and the description an officer writes for the public site; the notes for members on a location never leave the member portal.
• The club's own rules and how it enforces them. Officers can pin, lock and hide forum threads, delete posts, revoke For Sale listings, change a member's standing and remove members. Those are the club's decisions, not ours.
• How the club uses the email address we give it (info@yourclub.keeptheclub.com) and the messages it sends through the service.

6. Your content

Everything you post stays yours: forum posts, messages, listings, photos, event descriptions, announcements, documents you file with your club, and anything else you add. You give Keep The Club a non-exclusive, royalty-free, worldwide licence to store, copy, display, transmit and back up that content in order to run the service. That includes showing it to the people your club's settings allow, sending it in notification emails, and publishing on the club's public website anything the club or you have marked for the public site. The licence ends when the content is deleted from the service, except for copies in routine backups and copies others have already received, for example in an email.

You are responsible for what you post. You confirm that you have the right to post it and that it does not break the law or anyone else's rights. Do not post any of the following.

• Anything you do not have the right to share, including other people's photos or personal details without their permission.
• Anything illegal, threatening, harassing, hateful, sexually explicit or defamatory.
• Spam, scams, malware, or attempts to get into other people's accounts or data.
• Anything that impersonates another person or club.

7. Moderation

Officers moderate content inside their own club. We may also remove content or suspend accounts that break these Terms or the law, and we will do so where the law requires it. We may suspend or remove a club that breaks these Terms or the law, or that has been abandoned, and we will contact its administrators first when we reasonably can.

8. The For Sale board

The For Sale board lets members list items for the other members of their club, for other clubs they belong to if they choose, and for the public if they turn "Show in public site" on. Keep The Club is not a party to any sale, trade or giveaway. We do not handle payment, shipping or delivery, and no money moves through the service. Buyers and sellers deal with each other directly, and interested buyers reach a seller only through the service's Messages, never through a published email address or phone number.

• You must have the right to sell what you list, describe it honestly, and comply with the laws that apply to it. Do not list anything that is illegal to sell, or that you are not allowed to sell to the buyer.
• A listing marked sold stays sold. Officers of any club a listing appears in can remove it from that club, with a reason.
• We make no promises about any item, seller or buyer, and we are not responsible for the outcome of any transaction.

9. Email

The service sends email on your club's behalf: invitations, notifications about announcements, messages, forum threads, listings and events, and replies. Each club has an address of the form info@yourclub.keeptheclub.com. Notification emails let you reply from your email program, and the reply lands in the conversation it came from. Every notification email carries an unsubscribe link, and you can turn each kind off, or all of them for a club, in your account settings. Invitations, sign-in and account emails are not notifications and are sent as needed.

Clubs and members must not use the service to send unsolicited bulk email. Addresses that bounce or that report our mail as spam stop receiving mail from us.

10. Club websites, search engines and maps

A club's public website is meant to be found. It carries a title and description for search engines, a sitemap and structured data, and we allow search engines and AI assistants to read it. Anything a club puts on its public site should be treated as public.

Maps on a club's site and in its Locations section are embedded from Google Maps. When your browser shows one, it connects to Google, and Google's privacy policy applies to that connection.

11. Our intellectual property

The service itself, its design and code, and the Keep The Club name and logo belong to KeepTheClub LLC. These Terms give you no right to them beyond using the service. If you send us suggestions, we may use them without owing you anything.

12. Third-party services

The service runs on Google Firebase and Google Cloud, sends email through Amazon Web Services, and serves club websites through Cloudflare. It also uses Google for sign in with Google, for embedded maps and, when enabled, for a bot check. Those providers have their own terms and may be unavailable from time to time, and we are not responsible for their outages.

13. Ending an account or a club

• A club may stop using the service at any time by telling us at support@keeptheclub.com. We keep the club's data for a reasonable period after that in case it wants to return, then delete it. A club admin can download a copy of the club's data from Club info at any time, once every seven days.
• A club can remove a member at any time. A removed member's account still exists, their posts, messages and listings stay in the club's records, and any listings they had for sale are withdrawn.
• We may suspend or end your access if you break these Terms, and we may end the service as a whole with at least 60 days' notice to club administrators.
• The sections about your content, disclaimers, limits on our liability, your responsibility to us, and governing law continue to apply after an account or a club ends.

14. Disclaimers

The service is provided as it is and as available, without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose and non-infringement, to the fullest extent the law allows. We do not warrant that the service will be uninterrupted, error-free or secure, or that content posted by clubs and members is accurate.

15. Limits on our liability

To the fullest extent the law allows, KeepTheClub LLC and its owners and staff are not liable for any indirect, incidental, special, consequential or punitive damages, or for lost data, lost profits or lost goodwill, arising from the service or these Terms, however caused. Our total liability for all claims relating to the service is limited to the greater of one hundred US dollars or the amount the club paid us in the twelve months before the claim. Some states do not allow some of these limits, so some may not apply to you.

16. Your responsibility to us

You agree to defend and indemnify KeepTheClub LLC against claims, losses and expenses, including reasonable legal fees, that arise from content you post, from your use of the service, or from your breach of these Terms. A club agrees to the same for content its officers post, for its roster, and for its use of the service.

17. Governing law and disputes

These Terms are governed by the laws of the State of Minnesota, without regard to its conflict-of-law rules. Any dispute that cannot be settled between us will be brought in the state courts located in Steele County, Minnesota, or the federal courts for the District of Minnesota, and you consent to their jurisdiction. If any part of these Terms is found unenforceable, the rest still applies. These Terms, together with the Privacy Policy and the Cookie Policy, are the whole agreement between you and us about the service.

18. Changes to these Terms

We may update these Terms. The date at the top says when they last changed. For a material change we will email club administrators and post a notice on this site before it takes effect, and the service will ask you to accept the new Terms the next time you sign in.
